2. Our Services
We offer web design, application development, and instructional design services. The specific scope, deliverables, timelines, and costs for each project are agreed upon before work commences and will be detailed in a separate project proposal or agreement.
3. Quotations and Payment
All quotations are valid for 30 days from the date of issue unless otherwise stated. Payment terms will be specified in the project proposal. We typically require a deposit before work begins, with the balance due upon completion or in accordance with an agreed payment schedule.
All prices are quoted in GBP and are exclusive of VAT unless otherwise stated.
4. Intellectual Property
Upon full payment, the client will own the rights to the final deliverables, excluding any third-party software, libraries, or assets that are licensed separately. AG2 Design retains the right to display completed work in our portfolio unless otherwise agreed in writing.
All content, designs, code, and materials created by AG2 Design prior to final delivery remain our intellectual property until full payment is received.
5. Client Responsibilities
Clients are responsible for:
- Providing content, images, and other materials in a timely manner
- Reviewing and approving work at agreed milestones
- Ensuring that any materials provided do not infringe on third-party rights
- Maintaining the security of any login credentials we provide
6. Project Timelines
We will provide estimated timelines for each project. Delays caused by late provision of content or feedback from the client may result in revised delivery dates. We will communicate any changes to the timeline as soon as reasonably practicable.
7. Revisions and Amendments
Our project proposals include an agreed number of revision rounds. Additional revisions beyond the agreed scope may incur extra charges, which will be communicated in advance.
8. Hosting and Third-Party Services
Where we provide hosting or recommend third-party services (such as domain registration, email hosting, or analytics), these are subject to the respective provider's own terms and conditions. We are not liable for any downtime, data loss, or service interruptions caused by third-party providers.
9. Limitation of Liability
AG2 Design shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website. Our total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
10. Cancellation and Termination
Either party may terminate a project by providing written notice. In the event of cancellation:
- The client will be invoiced for all work completed up to the date of cancellation
- Any deposit paid is non-refundable unless otherwise agreed
- All completed materials will be delivered to the client upon full payment
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project. This obligation survives the termination of any agreement between the parties.
12. Website Usage
The content on our website is provided for general information purposes only. We make reasonable efforts to keep the information up to date, but we make no guarantees regarding the accuracy, completeness, or currency of any content.
You may not reproduce, distribute, or use any content from our website without our prior written consent.
13. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
